The real questions before you sign.
How long does it take to form a SARL in Luxembourg?
Plan on an average of two weeks between the first appointment and the signing of the Articles of association. The VAT number can take an additional 2 to 6 weeks depending on the workload at the AED. You're ready to invoice as soon as the deed is signed, but cannot charge VAT until the number is assigned.
What is the minimum capital required for each legal structure?
1 € for the SARL-S, 12 000 €
for the standard SARL, 30 000 € for the SA.
The share capital of the SARL and the SA must be deposited into a blocked account
before the notarial signing and released after registration with the RCS.
Do you need to be a Luxembourg resident to form a company?
No. Any natural person or legal entity, resident or not, can form
a company in Luxembourg. One business owner must, however, hold
the business permit, which is issued in their name and requires
qualification or experience prerequisites depending on the sector.
What is the business permit and who needs one?
This is the ministerial authorization that allows you to carry out a
commercial, craft, or professional activity in Luxembourg. Issued by the
Ministry of the Economy, it is mandatory before signing the
articles of association. Any company carrying out an economic activity in the Grand Duchy
must hold one. Average processing time: 3 to 4 weeks.
Which legal structure should I choose between SARL-S, SARL and SA?
The SARL-S suits solo self-employed founders, with no fundraising and limited capital. The SARL covers 80% of SMEs — it's the standard form. The SA becomes necessary as soon as there are several active partners or a fundraising plan. We weigh the options together at our first meeting.
How much does a SARL really cost all in?
For a standard SARL, expect around 1 700 € incl. VAT in fees payable in addition to the Advena package: notary fees (~ 580 € excl. VAT), notarial disbursements (~ 300 €), notarial VAT (~ 100 €), chancellery fee (50 €), RBE filing (~ 18 €). The share capital of 12 000 € is not an expense; it remains your starting cash. How does opening the business account work?
We coordinate your appointment with our partner bank and prepare the KYC file in advance. The bank's lead time varies with the complexity of the file: 7 to 15 days for residents, 4 to 8 weeks on average for non-residents — Luxembourg banking compliance is strict.
How much does a notary cost to sign the articles of association?
For a standard SARL, expect on average 580 € excl. VAT in fees (drafting the deed, signing, KYC, filing) plus roughly 300 € in notarial disbursements and Luxembourg VAT at 17 % on the fees. For an SA, the total is higher because of the larger capital. SARL-S companies are signed by private deed: no notary required.
Can you help me with my company's domiciliation?
Yes. We offer two options: administrative domiciliation
through our partner (rate varies with the option chosen, starting
at 200 € excl. VAT per month, including an
address, mail handling and meeting rooms by reservation), or renting a
physical office (varies by area). We handle the lease
agreement and the related formalities.
How long does it take to obtain the VAT number?
Between 2 and 6 weeks
depending on the AED's workload. It is the least predictable variable in the schedule.
You can invoice in the meantime, but you cannot apply VAT until
the number is assigned; your invoices will then carry the wording
"VAT pending assignment".
How does social security (CCSS) affiliation work?
Any paid business owner or self-employed person must be affiliated with the Centre Commun de la Sécurité Sociale. We complete and file the affiliation form within the week following the signing of the articles of association. Affiliation is generally effective within 15 days, with a personal and social security ID number assigned.
What if my business is regulated (healthcare, finance, transport)?
Regulated activities (financial CSSF, medical, transport, etc.) require a specific license on top of the standard business permit. We identify the prerequisites from the scoping stage and direct the file to the relevant authorities — either we coordinate the process, or we refer you to a specialized firm depending on the complexity.
What happens after formation, and who handles the accounting?
